BESPOKE INSTRUMENT COMMISSION & MANUFACTURE AGREEMENT

2. SCOPE OF THE BESPOKE WORK

The Business agrees to handcraft a unique, bespoke [Instrument Type] (the "Instrument") according to the specifications in Schedule A (Technical Specs).

  • Artistic Discretion: As a bespoke commission, the Client acknowledges that the Instrument is a work of applied art. The Business retains final artistic discretion over minor aesthetic and structural adjustments necessary to ensure the structural integrity, playability, and tonal quality of the Instrument.

  • Tonal Subjectivity: Tonal characteristics are inherently subjective. The Business will utilize its professional expertise to achieve the Client's requested "sound profile," but "subjective dissatisfaction" with the final acoustic voice does not constitute a defect in materials or workmanship.

  • The specific woods and appointments determined and agreed upon by both the client and manufacturere must be identified in writing via text message,Facebook messenger, email and /or through photos of the exact wood and appointments or hardware, along with any serial numbers or identification markers (if available / applicable.

 

3. ONTARIO MANDATORY DISCLOSURES (CPA Compliance)

  • Total Contract Price: $[Amount] CAD (plus 13% HST: $[Amount])

  • Total Amount Payable: $[Total] CAD

  • Estimated Delivery Date: [Specific Date, e.g., December 15, 2026]

  • Delivery Rule: If the Business is more than 30 days late beyond the Estimated Delivery Date, the Client may cancel this contract and request a refund of the deposit, unless the Client chooses to accept a revised delivery schedule in writing.

 

4. PAYMENT & MILESTONE SCHEDULE

Due to the custom nature of this work, payments are structured as follows:

  1. Commencement Deposit: $[Amount] (Non-refundable after materials are sourced/milled).

  2. Milestone Payment (e.g., "Closed Box"): $[Amount], due upon completion of [Body Assembly].

  3. Final Balance: $[Amount], due prior to delivery.

 

5. THE BUILD PROCESS & APPROVALS

To ensure the bespoke nature of the build meets Client expectations, the following "Approval Gates" apply:

  • Material Selection: The Client must approve the specific wood sets (e.g., Brazilian Rosewood, Sitka Spruce) via photo or in-person before milling begins.

  • Change Orders: Any modifications requested after signing (e.g., changing nut width or inlay) must be confirmed in a written Change Order. This may result in additional labor fees and an extension of the Estimated Delivery Date.

  • Natural Variation: The Client acknowledges that wood is a natural product. Variations in grain, figure, and mineral streaks are natural characteristics and are not grounds for rejection.

 

6. INTELLECTUAL PROPERTY & BRANDING

  • Branding: The Instrument will bear the official [Brenzasi Guitars] branding/logo as part of its provenance and value.

  • Media Rights: The Business retains the right to photograph and film the construction process and the finished Instrument for promotional and portfolio purposes (e.g., social media, website).

 

7. WARRANTY & HUMIDITY COMPLIANCE

  • Limited Warranty: The Business warrants the structural integrity of the Instrument to the original owner for [Number] years.

  • Environmental Responsibility: Ontario’s climate features extreme humidity swings. This warranty is void if the Instrument is not maintained within a humidity range of 40%–50%. Damage caused by dryness (cracks, fret sprout) or excessive moisture is the responsibility of the Client.

 

8. CANCELLATION & DISPUTE RESOLUTION

  • Work-in-Progress: Should the Client terminate this agreement before completion, the Business shall retain the Deposit and any Progress Payments to offset the cost of specialized materials and labor hours already expended.

  • Governing Law: This agreement is governed by the laws of the Province of Ontario. Any legal proceedings shall be held in Kingston, Ontario.
